By signing into the Zendit Platform, you agree to comply with these Terms and all applicable laws and regulations. You also agree to any additional terms specific to certain features, which may be presented to you when you use those features.
Authorized Use: The Zendit Platform is designed to support wind farm planning, operations, maintenance, and project management. You agree to use the Platform for these purposes and any other lawful and intended uses. Unauthorised access or use of the Platform is prohibited.
Account Responsibilities: You are responsible for maintaining the security of your account and the confidentiality of your login credentials. You must notify Zendit immediately if you suspect any unauthorised use of your account.
User-Generated Content: You are responsible for the accuracy of all data, project information, and documentation you enter into the Platform. Any inaccurate data entered by you may result in project delays or other operational issues, for which Zendit cannot be held liable.
Data Security: Zendit employs industry-standard security measures to protect the data you enter into the Platform. However, you acknowledge that no system is completely secure, and you use the Platform at your own risk.
Compliance with Laws
You agree to use the Platform in accordance with all applicable local, state, national, and international laws and regulations, including but not limited to data privacy laws, environmental regulations, and workplace safety standards relevant to wind turbine operations.
Privacy and Data Protection
Data Privacy: Zendit is committed to protecting your privacy. Our Privacy Policy, which is part of these Terms, describes how we collect, use, and disclose your information. By using the Platform, you agree to the practices described in the Privacy Policy.
Confidentiality: You agree to maintain the confidentiality of any sensitive or proprietary information you encounter while using the Platform, including but not limited to project data, operational strategies, and client information.
License to Use: Zendit grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform, solely for the purposes intended by Zendit.
Intellectual Property: The Platform and its content, including software, features, text, graphics, and all related materials, are owned by Zendit or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or otherwise exploit any part of the Platform without prior written consent from Zendit.
Misuse of the Platform: You agree not to misuse the Platform, including but not limited to: attempting to gain unauthorized access to other user accounts or the Zendit systems, uploading malicious software, or using the Platform in a manner that disrupts its functionality or harms other users.
Compliance Violations: You may not use the Platform in violation of any laws, particularly those relating to data privacy, safety, environmental protection, or industry standards.
Platform Performance: Zendit provides the Platform "as is" and "as available," and makes no guarantees as to its performance, uptime, or availability. We are not liable for any losses or damages resulting from system downtime, data loss, or delays caused by external factors such as internet outages or acts of nature.
Damages: In no event will Zendit be liable for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, project delays, or operational interruptions, even if we were advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Zendit and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your use of the Platform, your breach of these Terms, or your violation of applicable laws or regulations.
Zendit reserves the right to modify these Terms at any time. Any updates to the Terms will be communicated to you through the Platform. Your continued use of the Platform after any such modifications will constitute your acceptance of the new Terms.
Suspension and Termination: Zendit reserves the right to suspend or terminate your access to the Platform if you violate any of these Terms or engage in any unlawful or unauthorized activity. Upon termination, your right to access the Platform will cease immediately.
Data Retention: Upon termination of your account, Zendit will retain your data for a period of time as required by law or as described in our data retention policies. After that period, we will securely delete or anonymize your data.
Governing Law: These Terms are governed by the laws of Australia, without regard to conflicts of law principles. For international users, mandatory local laws may apply where required by your jurisdiction.
Dispute Resolution: Any disputes arising out of or relating to these Terms shall first be attempted to be resolved through negotiation between you and Zendit. If negotiation fails, the parties may agree to resolve disputes through arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA). If arbitration is not feasible, disputes shall be resolved in the courts of Australia.
Entire Agreement: These Terms constitute the entire agreement between you and Zendit concerning your use of the Platform. Any other agreements, understandings, or representations not included herein are void.
Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remainder of the Terms will remain in full force and effect.
Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.
